Vertraulichkeitsvereinbarung (NDA) - Connexa GmbH (deutsch)

Präambel Die Connexa GmbH bietet über ihre Plattform eine Umgebung, in der Teilnehmer Geschäfte tätigen und Informationen austauschen können. Diese Vereinbarung dient dazu, die Vertraulichkeit und Integrität der ausgetauschten Informationen zu gewährleisten und sicherzustellen, dass alle Geschäftsaktivitäten exklusiv innerhalb der Plattform stattfinden.

1. Gegenstand Diese Vereinbarung gilt für alle vertraulichen und sensiblen Informationen, die zwischen den Teilnehmern auf der Plattform der Connexa GmbH ausgetauscht werden. Sie regelt die Verpflichtungen der Teilnehmer hinsichtlich der Geheimhaltung und Nutzung dieser Informationen.

2. Definition von vertraulichen Informationen Vertrauliche Informationen umfassen alle nicht öffentlich zugänglichen Daten, Informationen und Dokumente, die im Rahmen der Nutzung der Plattform der Connexa GmbH bereitgestellt oder ausgetauscht werden, einschließlich, aber nicht beschränkt auf:

  • Geschäftspläne, Strategien, Vertragskonditionen,

  • Informationen über Finanzen, Marketing und Betriebsabläufe,

  • Technische Daten, Know-how, Erfindungen,

  • Informationen über andere Teilnehmer, Kunden und potenzielle Geschäftspartner.

3. Vertraulichkeitspflichten a. Der Teilnehmer verpflichtet sich, die vertraulichen Informationen streng vertraulich zu behandeln und nicht ohne vorherige schriftliche Zustimmung der Connexa GmbH an Dritte weiterzugeben oder Dritten zugänglich zu machen. b. Vertrauliche Informationen dürfen nur für Zwecke verwendet werden, die der Förderung der Geschäftsinteressen innerhalb der Plattform dienen. c. Der Teilnehmer wird alle angemessenen Vorkehrungen treffen, um die Sicherheit und Vertraulichkeit der Informationen zu wahren und den Zugang zu diesen Informationen auf Personen zu beschränken, die diese für die Durchführung ihrer Aufgaben benötigen.

4. Ausnahmen von der Vertraulichkeitspflicht Die Vertraulichkeitsverpflichtung gilt nicht für Informationen, die:

  • zum Zeitpunkt der Offenlegung bereits öffentlich bekannt waren,

  • nach der Offenlegung ohne Zutun des Teilnehmers öffentlich bekannt werden,

  • auf gesetzlicher Anforderung oder Gerichtsbeschluss offen gelegt werden müssen.

5. Dauer der Vertraulichkeitspflicht Die Vertraulichkeitspflicht bleibt auch nach Beendigung der Geschäftsbeziehung oder Nutzung der Plattform für eine Dauer von fünf Jahren bestehen.

6. Sanktionen und Rechtsfolgen bei Verstoß Bei einem Verstoß gegen die Vertraulichkeitspflichten dieser Vereinbarung ist der Teilnehmer zur Zahlung einer Vertragsstrafe in Höhe von €10.000 pro Verstoß verpflichtet. Weitere Schadensersatzansprüche der Connexa GmbH bleiben hiervon unberührt.

7. Schlussbestimmungen Diese Vereinbarung unterliegt dem Recht der Bundesrepublik Deutschland. Gerichtsstand ist der Sitz der Connexa GmbH. Änderungen dieser Vereinbarung bedürfen der Schriftform.

Confidentiality Agreement (NDA) - Connexa GmbH (English)

Preamble Connexa GmbH provides a platform where participants can conduct business and exchange information. This agreement is designed to ensure the confidentiality and integrity of the exchanged information and to ensure that all business activities are conducted exclusively within the platform.

1. Subject Matter This agreement applies to all confidential and sensitive information exchanged between participants on the Connexa GmbH platform. It governs the obligations of the participants regarding the confidentiality and use of this information.

2. Definition of Confidential Information Confidential information includes all non-publicly accessible data, information, and documents provided or exchanged within the use of the Connexa GmbH platform, including but not limited to:

  • Business plans, strategies, contract conditions,

  • Information about finances, marketing, and operational processes,

  • Technical data, know-how, inventions,

  • Information about other participants, clients, and potential business partners.

3. Confidentiality Obligations a. The participant commits to treating the confidential information with strict confidentiality and not disclosing it to third parties or making it accessible to third parties without the prior written consent of Connexa GmbH. b. Confidential information may only be used for purposes that promote the business interests within the platform. c. The participant will take all reasonable precautions to maintain the security and confidentiality of the information and to restrict access to the information to persons who need it to perform their duties.

4. Exceptions to the Confidentiality Obligation The obligation of confidentiality does not apply to information that:

  • was already publicly known at the time of disclosure,

  • becomes publicly known after disclosure through no fault of the participant,

  • must be disclosed due to legal requirements or court order.

5. Duration of the Confidentiality Obligation The obligation of confidentiality remains in effect even after the termination of the business relationship or use of the platform for a duration of five years.

6. Sanctions and Legal Consequences of Breach In the event of a breach of the confidentiality obligations of this agreement, the participant is obligated to pay a contractual penalty of €10,000 per violation. Further claims for damages by Connexa GmbH are unaffected by this.

7. Final Provisions This agreement is subject to the laws of the Federal Republic of Germany. The place of jurisdiction is the location of Connexa GmbH. Changes to this agreement require written form.
